1. About 797th LLC

797th LLC ("Company," "we," "us," or "our") is a United States-based technology company that designs, builds, and operates AI-augmented internal business systems. Our product suite includes employee management platforms, human resources operations software, AI-powered legal intelligence tools, and research & development infrastructure. These systems are built for internal enterprise use and are not consumer-facing products.

By accessing or using any website, application, platform, or service operated by 797th LLC (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must discontinue use of the Services immediately.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into a binding agreement on behalf of yourself or the organization you represent
• Be an authorized employee, contractor, or business partner of 797th LLC or an organization that has entered into a service agreement with us

Our Services are not intended for use by the general public. Access is restricted to authorized personnel within our organization and verified business partners.

3. Description of Services

797th LLC provides the following categories of services:

• Employee Management: A unified platform for the complete employee lifecycle, including AI-assisted hiring pipelines, structured onboarding workflows, time tracking, resource allocation, role-based access management, and automated offboarding
• Human Resources (HR): A comprehensive HR operations hub covering benefits administration, compliance tracking, performance review cycles, workforce analytics, employee self-service, and headcount planning
• Kapari AI (Legal Intelligence): An AI-powered legal assistant for contract review, clause extraction, regulatory compliance monitoring, document Q&A, case research, and audit trail management
• Research & Development: Internal prototyping and evaluation of next-generation AI agent systems, including multi-step reasoning pipelines, retrieval-augmented generation, and AI orchestration frameworks

All services are deployed on private infrastructure and accessed through authenticated interfaces. We do not offer open-registration consumer services.

4. Authorized Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

• Access or use the Services for any purpose other than legitimate business operations
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services
• Attempt to gain unauthorized access to any system, network, server, or data
• Interfere with, disrupt, or place an unreasonable burden on the Services or underlying infrastructure
• Transmit any malicious code, viruses, worms, or other harmful content
• Use the Services to send unsolicited bulk communications, spam, or any messages that violate applicable anti-spam laws (including the CAN-SPAM Act, GDPR, and CASL)
• Harvest, scrape, or collect any personal data from the Services without authorization
• Sublicense, resell, or redistribute access to the Services to any third party
• Use the Services in any manner that could damage, disable, or impair our systems or interfere with any other party's use of the Services

5. Email and Electronic Communications

797th LLC uses third-party email infrastructure providers (including transactional email services) to facilitate legitimate business communications. Our email practices are governed by the following principles:

5.1 Types of Email Communications

• Internal Employee Communications: Notifications, onboarding messages, policy updates, system alerts, and operational communications sent to employees and authorized personnel within 797th LLC
• Transactional Emails: Account confirmations, password resets, security alerts, system notifications, and other service-related messages triggered by user actions or system events
• Business-to-Business Communications: Direct correspondence with verified business partners, vendors, clients, and service providers in the course of normal business operations

5.2 Anti-Spam Commitment

797th LLC maintains a strict anti-spam policy. We do not:

• Purchase, rent, lease, or otherwise acquire third-party email lists or contact databases
• Send unsolicited bulk or commercial email messages
• Harvest or scrape email addresses from websites, directories, or any other sources
• Use deceptive subject lines, false header information, or misleading sender identities
• Send emails to recipients who have not provided consent or who do not have a pre-existing business relationship with us

5.3 Consent and Opt-Out

All email recipients are sourced through direct business relationships:

• Employees: Consent is obtained during the hiring and onboarding process as part of employment agreements
• Business Partners: Contact information is exchanged through direct, mutually initiated business relationships
• Opt-Out: All non-essential communications include a clear and functional unsubscribe mechanism. Opt-out requests are honored within 10 business days in compliance with CAN-SPAM requirements

5.4 Compliance with Email Regulations

All email communications sent through our Services comply with:

• The CAN-SPAM Act of 2003 (United States)
• The General Data Protection Regulation (GDPR) where applicable
• Canada's Anti-Spam Legislation (CASL) where applicable
• All applicable state, federal, and international anti-spam and electronic communication laws
• The acceptable use policies of our email infrastructure providers

6. User Accounts and Security

Access to the Services requires authentication. You are responsible for:

• All activities that occur under your account

8. Artificial Intelligence and Automated Processing

Our Services incorporate artificial intelligence, machine learning, and automated decision-making systems. You acknowledge and agree that:

• AI-generated outputs are provided for informational and operational purposes and should be reviewed by qualified personnel before being relied upon for critical decisions
• AI systems may process documents, employee records, and business data to generate insights, recommendations, and automated actions
• While we strive for accuracy and reliability, AI-generated content is not a substitute for professional legal, financial, medical, or other specialized advice
• We continuously monitor and improve our AI systems to reduce errors, bias, and unintended outcomes

9. Confidentiality

In the course of using our Services, you may have access to confidential or proprietary information belonging to 797th LLC, its employees, or its business partners. You agree to:

• Treat all non-public information obtained through the Services as confidential
• Not disclose, share, or use confidential information for any purpose other than authorized business operations
• Take reasonable measures to protect confidential information from unauthorized access or disclosure

10. Service Availability and Modifications

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. 797TH LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 797TH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless 797th LLC, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services in violation of these Terms
• Your violation of any applicable law, regulation, or third-party right
• Any content or data you submit, transmit, or make available through the Services

15. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to access and use the Services ceases immediately
• Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7 (Intellectual Property), 9 (Confidentiality), 12-14 (Disclaimers, Liability, Indemnification), and 17 (Governing Law)

16. Modifications to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Last Updated" date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which 797th LLC is incorporated, without regard to its conflict of law principles. Any dispute arising under or in connection with these Terms shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, unless both parties agree to resolve the matter in a court of competent jurisdiction.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and 797th LLC with respect to the Services and supersede all prior or contemporaneous communications, proposals, and agreements.
